| ARTICLE X
Meetings
Section 1. A minimum of one annual business meeting shall
be held. The Executive Board shall have the authority to conduct
regional meetings as necessary.
Section 2. The Executive Board and the Division may conduct meetings
and complete all Division activities using electronic and non-electronic
means.
ARTICLE XI
Amendments
These bylaws may be amended or repealed by a three-fourths vote
of the Executive Board. Notice of all proposed amendments or changes
must be submitted to the Board in writing at least 30 days prior
to scheduled vote. If a Board member is unable to attend the meeting
at which a vote to repeal or amend the bylaws is taken, a written
vote will be accepted. The Executive Board may propose amendments
on it own initiative or upon petition by any 25 members in good
standing of the Division addressed to the Board.
ARTICLE XII
Dissolution
Section 1. Upon the dissolution of the Division for Communicative
Disabilities and Deafness, assets shall be distributed for one or
more exempt purposes within the meaning of Section 501(c)(3) of
the Internal Revenue Code (or corresponding section of any future
federal tax code), or shall be distributed to the federal government,
or to state or local governments, for public purpose.
Section 2. However, if the named recipient is not then
in existence or no longer a qualified distributee, or unwilling
or unable to accept the distribution, then the assets for the Division
for Communicative Disabilities and Deafness shall be distributed
to a fund, foundation or corporation organized and operated exclusively
for the purposes specified in Section 501(c)(3) of the Internal
Revenue Code (or corresponding section of any future federal tax
code).
Section 3. Under no circumstances shall any of the property
or assets of the Division during its existence or upon dissolution
go to or be distributed to any officer, member, employee, or subsidiary
of the Division.
ARTICLE XIII
Parliamentary Procedures
The rules of parliamentary practice comprised in Robert’s
Rules of Order, Newly Revised, shall govern the proceedings
of this Division subject to the special rules that have been or
may be applied.
